Agreement to Terms

Platform Content and Interactions

Some Ridgeleaf platforms may support marketplace, booking, listing, commerce, community, or partner interactions. Unless expressly stated otherwise, Ridgeleaf Solutions provides software infrastructure and is not a party to independent agreements between users, businesses, partners, or third-party providers.

Safety and Compliance

Users are responsible for complying with applicable laws, safety requirements, insurance obligations, platform policies, and any third-party terms that apply to their activities. Ridgeleaf Solutions is not liable for damages, losses, or injuries arising from user conduct or third-party transactions.

Payments and Fees

Platform Fees

We may charge fees for use of certain Services. All fees are described in our fee schedule and are subject to change with notice. You agree to pay all applicable fees.

Payment Processing

Payments are processed through third-party payment processors. You agree to comply with the terms and conditions of these processors. We are not responsible for errors or issues arising from payment processing.

Refunds

Refund policies may vary by platform, product, subscription, listing, transaction, or third-party processor. Disputes regarding refunds should be resolved according to the applicable platform policy, product terms, or third-party cancellation policy.

Intellectual Property

Ownership

The Services, including all content, features, and functionality, are owned by Ridgeleaf Solutions LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

User Content

You retain ownership of content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display the content in connection with operating and promoting the Services.

Disclaimers and Limitations of Liability

No Guarantee

We do not guarantee that the Services will be uninterrupted, error-free, or secure. We do not guarantee the accuracy, reliability, or completeness of any content or information provided through the Services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIDGELEAF SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Ridgeleaf Solutions LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or violation of any rights of a third party.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services immediately ceases. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in Texas.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ridgeleaf Solutions LLC regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
